LA Sublimation LLC - Terms of Service

Effective Date: 10/20/25

1) Overview

These Terms of Service (“Terms”) govern your use of the manufacturing, fulfillment, and related services provided by LA Sublimation LLC (“LA Sublimation,” “we,” “us,” or “our”). If these Terms conflict with a signed agreement between you and LA Sublimation, the signed agreement controls.

By placing an order or using our services, you (“Client”) agree to these Terms.

2) Production Timelines

Standard Orders. We aim to produce and ship within five (5) business days. Depending on product, complexity, and volume, orders may take up to fifteen (15) business days. Standard orders do not include guaranteed delivery dates. We are not liable for delays, demand spikes, seasonal peaks, or carrier issues.

Time Tracking. “Day 0” begins the business day your order and deposit are received during business hours; the next business day is “Day 1.”

Rush Orders. You may request rush service with specific arrive-by dates at sales@sublimation.la. Rush fees (quoted in writing) apply only if the timeline is met. Rush orders are valid only after written acceptance by LA Sublimation and Client.

3) Payments, Deposits & Charges

New Clients. Payment in full is due before production release. Shipping charges are billed at the time of shipment (you will typically see two charges: products, then shipping).

Artwork Proofs. To move quickly, we do not provide proofs or art reviews on Client-provided files. By submitting an order, you agree to pay for production and shipping; delivery dates are targets.

Payment Methods.

  • Credit Card: Processed via Stripe; 3.5% processing fee applies. Orders release to production upon full payment.

  • ACH: Processed daily; typically 2–5 business days, up to 10 depending on your bank. Orders release after funds are received. No ACH fee from us.

Default Payment Method. You authorize us to charge your primary payment method on file for invoices and shipping. If it fails, we may charge secondary/tertiary methods you’ve provided.

4) Cancellations

Orders may be canceled before payment without charge. Orders in production are billable in full. Produced items from canceled orders may be held up to twelve (12) months to match against future orders; shipping is billed when shipped.

5) Account Terms & Late Payments

Approved returning Clients may receive payment terms. All accounts are personally guaranteed by the submitting individual and Client entity.

If any invoice is not paid within stated terms, your account is past due and may be suspended. While suspended:

  • No new orders enter production.

  • Completed orders do not ship.

  • Any discounts or special accommodations are void.

  • 2% monthly interest may accrue on late balances.

After 90 days unpaid (“Default Account”), LA Sublimation may, at its discretion:

  • Treat Client’s account, artwork, and finished/unfinished goods as relinquished;

  • Dispose/recycle/donate/salvage goods; and

  • Enforce personal guarantee obligations.

6) Taxes

Client is responsible for all applicable taxes (sales, use, etc.). Provide valid exemption certificates before production if applicable. Client agrees to indemnify LA Sublimation for any taxes related to Client’s orders.

7) Acceptable Use & Client Artwork

Client will use our services lawfully and in compliance with all applicable laws.

Client represents and warrants it owns or has valid licenses/permissions for all submitted artwork/content, and grants LA Sublimation a limited, irrevocable, worldwide license to use, reproduce, and modify such content as needed to fulfill Client’s orders and to display work product samples in our portfolio and marketing.

Client indemnifies and defends LA Sublimation from any claims related to Client’s artwork/content (e.g., copyright, trademark, likeness, patent, or other rights).

Client agrees not to upload malicious content or misuse our systems.

Custom Assets by LA Sublimation

Any mockups, templates, photography, or other digital assets created or modified by LA Sublimation remain our property. We grant Client a limited license to use such assets solely in connection with LA Sublimation-produced products, unless otherwise agreed in writing.

8) Shipping & Fulfillment

We ship using commercially reasonable materials and carriers at our discretion unless otherwise agreed in writing. Optional carrier insurance may be selected by Client at order time. For lost shipments, claims must be made with the carrier/insurer. LA Sublimation is not responsible for carrier loss, delays, or incidental/consequential damages. Shipping costs follow standard payment terms; rush requests may increase shipping charges.

9) Returns

We accept returns only for manufacturing defects or our design error reported within 60 days of delivery. Email sales@sublimation.la with photos to obtain an RMA and instructions.

Not eligible: Client errors (wrong file, wrong address, low-res art, incorrect specs), or minor material variances from sample standards needed to meet order timelines (such variances are not defects). If we cannot resolve a return, the Dispute Resolution section controls.

10) Intellectual Property & Policy References

Client agrees to follow these Terms and our Copyright/Trademark and Privacy policies (as posted/updated on our site). It is Client’s responsibility to ensure legal compliance.

11) Dispute Resolution (Arbitration; Class Waiver)

Governing Law & Venue. These Terms are governed by the laws of the State of California. Exclusive venue for any court action or arbitration is Orange County, California.

Informal Resolution First. Before filing any claim, email sales@sublimation.la with a written description of your issue. If not resolved within 30 days, either party may proceed as below.

Arbitration. Except for claims seeking injunctive relief or qualifying for small-claims court, all disputes arising out of or relating to these Terms or our services will be resolved by final, binding arbitration administered by JAMS under its applicable rules, before a single arbitrator in Orange County, CA. The Federal Arbitration Act applies.

Class Action & Jury Waiver. No class, collective, or representative actions. All claims are individual only. You and we waive jury trial to the fullest extent permitted by law.

Opt-Out. You may opt-out of arbitration by emailing sales@sublimation.la or mailing a written notice to LA Sublimation LLC, ATTN: Legal, 7694 Garden Grove Blvd, Westminster, CA 92683 within 30 days of your first order or upload. If you opt-out, we are not bound to arbitrate with you, either.

12) Warranties, Liability & Indemnity

AS-IS. Services and products are provided “as is” and “as available.” We disclaim all warranties to the maximum extent permitted by law.

Limitation of Liability. To the fullest extent permitted, LA Sublimation is not liable for any indirect, special, incidental, punitive, or consequential damages (including lost profits, data, goodwill, or reputation). Our total liability for any claim is limited to $100.

Indemnity. Client will indemnify and hold harmless LA Sublimation and its officers, employees, and agents from any claims, losses, and expenses (including reasonable attorneys’ fees) arising out of Client’s artwork, content, products, use of services, breach of these Terms, or violation of laws or third-party rights.

13) Modifications

We may update these Terms or our policies from time to time. We’ll post changes on our website or notify you via email. Continued use after the effective date constitutes acceptance.

14) Notices

Unless we specify otherwise, send notices to sales@sublimation.la. We may notify you via email to the address on your account or by posting within our services.

15) Data Transfer & Privacy

By using our services, you consent to processing in the United States per our Privacy Policy. You’re responsible for complying with your local laws.

16) Force Majeure

We’re excused from performance for events beyond our reasonable control (e.g., natural disasters, war, strikes, embargoes, terrorism, pandemics, or utility failures). If shipment is temporarily impossible, you may defer or receive a refund.

17) Miscellaneous

No partnership/joint venture/agency is created. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign upon notice. Headings are for convenience only. These Terms (plus any signed agreement and referenced policies) constitute the entire agreement between you and LA Sublimation LLC regarding the services.
